Contract Termination
This Agreement includes a provision that either party may terminate upon ninety (90) days prior written notice.
Background
Health and Human Services Agency ("HHSA") Emergency Medical Services ("EMS") Agency contracts with Advanced Life Support ("ALS") transport companies that use Zoll 12-Lead monitors to capture and transmit electrocardiogram ("EKG") data to the Base Hospital (Marshall or Barton).  That data is reviewed by medical personnel to determine the severity of the patient's situation and appropriate action to be taken.
 
"Zoll RescueNet® 12-Lead" is a web-based EKG data management system that provides access to EKG data captured by ALS transport companies and uploaded to the "Zoll RescueNet® 12-Lead" management system.  The data would be automatically and simultaneously distributed to the EMS Agency via e-mail, fax, computer, tablet or handheld, internet-accessible device.  The system is encrypted, password protected, and HIPAA compliant.
Reason for Recommendation
Approval of this non-financial Agreement 597-S1210 with Zoll Medical Corporation, which is effective upon final execution with a perpetual term, will enhance the ability of the EMS Agency to conduct timely and thorough review of every EKG performed by ALS transport companies.  In addition, this will allow the EMS Agency to analyze the data to ensure compliance with ST-segment elevation myocardial infarction ("STEMI") protocols established by the EMS Agency.
 
Action(s) to be taken following Board approval
1.   Chair to sign two (2) original Agreements 597-S1210;
2.  Clerk of the Board to return both signed original Agreements to HHSA/PHD at 3057 Briw Road, Suite A;
3.  HHSA/Public Health Division to send both original Agreements to Zoll Medical Corporation for final signature; and
4.  Upon receipt of fully executed Agreement 597-S1210, HHSA/Public Health Division will return one original Agreement to the Board Clerk's Office.
