Title
Health and Human Services Agency, Social Services Division, recommending the Board consider the following:
1) Whereas The Delora Corporation dba Foster Family Services has formally merged with Sierra Child and Family Services, Inc. dba Foster Family Services, authorize the Chair to terminate perpetual Agreement for Services 915-S0811 with The Delora Corporation; and
2) Authorize the Chair to execute Amendment III to Agreement for Services 942-S0811 with Sierra Child and Family Services, Inc. dba Foster Family Services, thereby increasing the annual not-to-exceed amount from $1,000,000 to $2,000,000 for the continued provision of emergency shelter care and/or foster care placement services on an "as requested" basis with a start date of January 10, 2008 and no end term date.
FUNDING: Funded with a blend of Federal and State funds (85%) with County share of cost or required match (15%) met with realignment resources. There is no Net County Cost associated with this Agreement.

Fiscal Impact/Change to Net County Cost: No change. Sufficient appropriations were included in the Fiscal Year (FY) 2012-13 budget. Funds are included in FY 2013-14 County Budget Request and will be included in future County Budget Requests.
Termination: Agreement includes the County's standard Fiscal Considerations termination language as well as a provision for the County to terminate the Agreement without cause in seven (7) calendar days upon written notice.
Background:
On May 20, 2008, the Board authorized the Purchasing Agent to execute Agreement for Services 942-S0811 with Sierra Child and Family Services, Inc. for the provision of emergency shelter and foster care placements (Legistar File #08-0713, Agenda Item #35).
On May 24, 2011, the Board authorized the Purchasing Agent to execute Amendment I to Agreement for Services 942-S0811 with Sierra Child and Family Services, Inc., which updated the vendor's address, added County Counsel-mandated language relative to auditing requirements with sub-contractors and/or sub-recipients that receive federal funds, and allowed placement of youth by the County of El Dorado Probation Department (Legistar File #11-0519, Agenda Item #11).
Also on May 24, 2011, the Board authorized the Purchasing Agent to execute Amendment II to Agreement for Services 942-S1088 with Sierra Child and Family Services, Inc., which authorized the Purchasing Agent to execute amendments to eighty-four (84) group home/foster family agency agreements to conform to new boilerplate terms, including amending the term of the agreements to be perpetual. Included in the 84 approved Amendments was Amendment II to Sierra Child and Family Services, which was executed on August 23, 2011 (Legistar File #11-0467, Agenda Item #15).
On October 26, 2012, The Delora Corporation ceased to exist as a corporation and merged with Sierra Child and Family Services, Inc.
Reason for Recommendation:
The Delora Corporation dba Foster Family Services has merged with Sierra Child and Family Services, Inc. and Sierra Child and Family Services, Inc. is now known as Sierra Child and Family Services, Inc. dba Foster Family Services. This amendment is necessary to reflect the vendor's merger, its name change, and to increase the annual not-to-exceed compensation from $1,000,000 to $2,000,000 to allow for anticipated use as a result of the merger.
Action to be taken following board approval:
1) Chair to sign two (2) originals of Amendment III to Agreement for Services 942-S0811.
2) Board Clerk's Office to return one (1) original Agreement to HHSA at Briw Road
3) Department to distribute as appropriate.
