DISCUSSION / BACKGROUND

On March 22, 2016, the Board approved Resolution 048-2016 (Legistar 16-0240), establishing participation by the County on the Tahoe Prosperity Center's (TPC) Board of Directors. The TPC is a 501(c)(3) nonprofit whose stated mission is "uniting Tahoe's communities to strengthen regional prosperity." It partners with governments on economic and community development, expands opportunities for broadband infrastructure placement and improvements, and competes for federal, state and local grant funds that will contribute to its mission. The County of El Dorado has participated in the formation and funding of the TPC in collaboration with Tahoe Basin California and Nevada jurisdictions since 2010 to create the Tahoe Prosperity Plan.

 

Under the 2016 Resolution, the County's District 5 Supervisor occupies a seat as a voting member on the TPC's Board of Directors, with the term on the TPC's Board running concurrently with the Supervisor's term on the Board of Supervisors.

 

In August 2020, TPC CEO Heidi Hill Drum requested a change in the status of the County's representative on the TPC's Board. Instead of status as a voting member, the County representative would be a "board liaison." Ms. Drum made similar requests to all the jurisdictions represented on her Board, as well as adjusting the TPC's bylaws. The change in the District 5 Supervisor's status is meant to free staff from onerous levels of administrative work unrelated to their usual functions. Ms. Drum assures the County that jurisdiction members on the TPC's Board would continue to have "100% participation and deliberation" in meetings.

 

The TPC is a registered 501(c)(3) nonprofit, and as such, its Determination Letter and Form 990s are available for public view on the IRS website. Form 990, which most charities must file annually, provides an overview of the organization's detailed financial information, governance and activities. In addition, the TPC is a registered Domestic Nonprofit Corporation, with "active" status, with the State of Nevada.

 

ALTERNATIVES

The Board could choose not to approve this recommendation and the existing resolution would remain in place until further action was taken.  Ms. Drum stated all other jurisdictions on the TPC Board support this change. 

 

PRIOR BOARD ACTION

March 22, 2016 - Item 23(2), (Legistar 16-1204): Adopt and authorize the Chair to sign Resolution 048-2016 establishing formal County representation on the Tahoe Prosperity Center Board of Directors.
