Fiscal Impact/Change to Net County Cost: Funding for the first year of $4,500 has been included in the Sheriff's FY2009-10 budget. Funding for the second year of $4,500 will be included in the FY 2010-11 budget.
Background: Beginning in November 2005, your Board approved Agreement #464-S0610 with Lexipol, LLC with agreed upon changes that eliminated the standard indemnity language. When the contract was renewed in March 2008, #369-SO810, the County's standard agreement was used which included the standard indemnity clause used by the County. At that time, the vendor had assumed they were signing the "same" negotiated terms as the prior contract. Later, the vendor noticed that the indemnity clause was included in the new agreement and asked for it to be deleted. This amendment to the March 2008 contract was heard and approved by your Board on June 23, 2009.
Reason for Recommendation: This new agreement is to continue the provision of services by Lexipol, LLC for updates to the Department's Policy Manual. The standard indemnity clause has been removed as requested by vendor and approved by County Counsel.
Action to be taken following Board approval: After Chairman's signature, one original contract will be forwarded to Lexipol, LLC.
