1) Discuss whether to enter into negotiations for a Development Agreement requested by GGV Missouri Flat LLC (Developer) for the development known as Diamond Dorado Retail Center; and
2) If the Board does wish to enter into negotiations, to select a Board subcommittee to work with staff to develop the deal points of the Development Agreement. (Est. Time: 30 Min.)

Background:
The Developer has submitted an application for a Development Agreement to accompany its request for entitlements for a shopping center in the Diamond Springs area, between Missouri Flat Road and Highway 49. The decision whether or not to enter into a Development Agreement, and the appropriate terms of any agreement, is within the Board's discretion. Before entering into potentially lengthy negotiations on the terms of the agreement, staff wanted to seek Board direction as to whether the Board wanted to negotiate a Development Agreement for this project.
Assuming the Board does want to consider entering into a Development Agreement for this project, staff requests that the Board appoint a subcommittee of two Board members to work with staff from the CAO, County Counsel, Development Services, Department of Transportation and Environmental Management to determine the basic deal points that the County would like to see in any Agreement , and that the Board direct that a member of the CAO's staff, a member of the County Counsel's staff and the Director of Development Service be directed to negotiate the terms of the Agreement with the Developer.
Recommendation:
1. Appoint two members of the Board to work with staff from the CAO, County Counsel, Development Services, DOT and EMD to determine the deal points.
2. Direct that CAO, County Counsel and Development Services staff negotiate the terms of the Agreement in accordance with the deal points.
