DEPARTMENT RECOMMENDATION
Community Development Services, Department of Transportation (Transportation) recommending the Board approve and authorize the Chair to sign Second Amendment to Agreement for Services 111-S1511 with Stantec Consulting Services, Inc. (Stantec), modifying various administrative details related to their acquisition of North State Resources, Inc. (NSR) and changing the Contract Administrator, with no changes to the compensation, rate schedule, term, or scope of work of the Agreement which provides on-call environmental review and associated services in support of various Capital Improvement Program projects.
DISCUSSION / BACKGROUND
The Board approved Agreement 111-S1511 (Agreement) with NSR which provides on-call environmental review and associated services in support of various Capital Improvement Program projects on September 23, 2014 (Item 9). The First Amendment was approved by the Board on August 8, 2017 (Item 17), extending the term for one additional year expiring on September 22, 2018 and updating administrative details.
On October 27, 2017, NSR was acquired by Stantec through an asset sale. The Second Amendment merely modifies various administrative details related to the acquisition with no change to the compensation, rate schedule, term, or scope of work. The only change not related to the acquisition is the change to the Contract Administrator. This change is necessary to place the responsibility of managing this contract more appropriately within Transportation’s environmental group.
The El Dorado County Employees Association, Local #1, was informed of this proposed Amendment and has no objections.
ALTERNATIVES
Should the Board choose not to approve this Amendment, Transportation will terminate the original Agreement with NSR.
OTHER DEPARTMENT / AGENCY INVOLVEMENT
County Counsel and Risk Management have reviewed and approved this Amendment.
CAO RECOMMENDATION
It is recommended that the Board approve this item.
FINANCIAL IMPACT
Funding for the Agreement is budgeted in the 2017 Capital Improvement Program, adopted by the Board on June 27, 2017 (Item 25). There is no change to Net County Cost.
CLERK OF THE BOARD FOLLOW UP ACTIONS
1) The Clerk of the Board will obtain the Chair’s signature on two (2) originals of the Amendment.
2) The Clerk of the Board will forward one (1) original of the Amendment to Chief Administrative office, Procurement & Contracts Division.
