Environmental Management Department recommending Chairman be authorized to sign Agreement No. 020-A-08/09-BOS (363-S0911) with Decade Software Company, LLC, in an amount not to exceed $114,510 for the term December 1, 2008 through November 30, 2011 to provide a specialized software product called "Envision and EnvisionConnect" for said Department, noting Article 15, Page 12 of the agreement is non-standard indemnity language and has been reviewed by County Counsel.
RECOMMENDED ACTION: Approve.

Background:
Reason for Recommendation: This Agreement with Decade Software Company, LLC. will allow the Environmental Management Department to continue utilization of a proprietary software product called "Envision and Envision for Windows." This product is endorsed by the California Environmental Health Administrators and is utilized by Environmental Health Departments throughout the State of California. "Envision and Envision for Windows" is a Department-wide, network-based, relational database for maintaining facility record information, issuing invoices, tracking payments, issuing permits, tracking billable staff hours, and generating operational data for mandated reporting purposes. Its continued use is critical to the EMD operations, revenue generation, and compliance with mandated reporting requirements.
Decade Software Company has been supplying Envision software to EMD for over ten years. Decade is the only company that can produce this product, as they are the developer of the product. Envision / EnvisionConnect cannot be purchased or leased through any other company. It must be licensed through Decade Software Company. Decade has the sole rights to this product and is a sole source provider. Their services are vital to the operation of EMD.
EMD has made several attempts with the Consultant to negotiate the terms of "Article 15, Indemnity," page 12. The language is non-standard and has been reviewed by County Counsel.
This Agreement shall not exceed $114,510.00 and shall expire on November 30, 2011. There is a budget of $41,810.00 available from software licenses in the Administration Division for FY 08/09. For the proposed budgets in FY 09/10 and FY 10/11 $36,350.00 will be budgeted each FY.
The Department recommends the Board make findings that in accordance with County Charter Article II, Section 210b(6) that it is appropriate to obtain an outside consultant for the provision software licenses and technical support.
Action to be taken following Board approval: Forward executed Agreement to EMD for further processing.
