Probation Department recommending the Board:
1) Make findings that it is appropriate to engage an independent contractor to provide janitorial services, as Agreement 10121 can be more economically and feasibly performed by independent contractors than County employees in accordance with County ordinance code 3.13.030(a);
2) Approve and authorize the Chair to sign Agreement for Services 10121 with Marsden Central, LLC (doing business as Spencer Building Maintenance), a competitively qualified firm, to provide janitorial services for the Probation Department located at 3974 Durock Road, Shingle Springs, Suites 205-211 and for the Community Corrections Center located at 3974 Durock Road, Shingle Springs, Suites 201-204, for the term of August 1, 2026, through July 31, 2029, with an amount not to exceed $146,997.30; and
3) Authorize the Purchasing Agent to execute further documents relating to Agreement for Services 10121, including amendments, contingent upon approval by County Counsel and Risk Management, which do not increase the maximum dollar amount or term of the Agreement.
FUNDING: General Fund (72%) and Public Safety Realignment (28%).

DISCUSSION / BACKGROUND
Marsden Central, LLC (doing business as Spencer Building Maintenance) (Marsden) has been contracting with El Dorado County since June of 2022 for as-need janitorial services for the Facilities Division and for various County-owned facilities.
On June 27, 2024, Spencer Building Maintenance was formally approved to a qualified list for Janitorial Services, as the result of competitive Request for Qualifications (RFQ) 24-0043.
Probation leases its building at 3974 Durock Road in Shingle Springs. Probation desires to enter into its own agreement with Marsden for janitorial services for the Shingle Springs field office and the Community Corrections Center.
Probation requests the Board make findings pursuant to Ordinance Code Section 3.13.030(a) that the ongoing aggregate of the work to be performed under this Agreement would be more economically and feasibly performed by an independent contractor than County employees.
ALTERNATIVES
The Board could decline to approve this agreement, and Probation could seek a different vendor.

FINANCIAL IMPACT
There is no increase in Net County Cost. Funding is included in Probation’s FY 2026-27 budget and will be requested in subsequent years’ budgets.

1) Obtain signature of Chair on two originals of Agreement 10121.
2) Clerk of the Board to return one fully executed Agreement to the Probation Department for final processing and distribution to vendor.
