Recorder-Clerk recommending the Board:
1) Approve and authorize the Chair to sign Amendment IV to Agreement for Services 061-S0311, an Assignment Agreement, to reflect the acquisition of AtPac, Inc. by SouthTech Systems, effective March, 1, 2017, for the provision of software and related services to the County Recorder-Clerk;
2) Authorize the continued use of perpetual agreement for services 061-S0311 for electronic recording services.
DISCUSSION/BACKGROUND
The Recorder-Clerk has utilized service agreement 061-S0311 since 2002 for electronic recording services, including a CRiis system site software license and associated support services. The Recorder-Clerk uses the system to record documents and also to perform functions necessary for the County Clerk duties.
The CRiis system site software license and support services provide for service fees (as necessary and requested), file conversion, file recovery, ongoing implementation and updates in order to ensure consistent and uninterrupted work flow of the Recorder-Clerk functions, including electronic recording of documents, cashiering, imaging, indexing and archiving records.
On June 22, 2008, the continued use of this contract with AtPac, Inc. for propietary software applications and support was authorized by the Board of Supervisors. AtPac, Inc. was acquired by SouthTech Systems, thereby requiring approval of Amendment IV to contract 061-S0311 for the assignment of this contract to SouthTech Systems.
There is no change to pricing, scope of work, technical support and other services as a result of this contract amendment. SouthTech Systems has purchased AtPac Corporation’s assets including all software application source code, trademarks, equipment and rights to existing software licenses and service agreements, effective March 1, 2017.
ALTERNATIVES
Disapproval of Amendment IV to Agreement 061-S0311 will prevent the Recorder-Clerk from continuing with the many functions of the office, which are currently provided by this software license and associated maintenance agreement.

FINANCIAL IMPACT
There is no change to Net County Cost. Appropriations are included in the Department budget for FY 2016-17 and will be included in budgets for future years

1) Clerk of the Board to obtain signature of Chaire on two (2) original Amendment IV Assignment Agreement for Services 061-S0311
