Fiscal Impact/Change to Net County Cost:
The Board previously approved Agreement for Services #AGMT 07-1588 with William A. Reid, AIA, Architects (Reid) in the amount of $100,000.  Two items of work were completed by Reid prior to the time he ceased doing business and payment of $14,055 was made to Reid for these services.  The balance remaining to complete the work under Agreement #AGMT 07-1588 is $85,945 and is to be completed under this assignment agreement and has been included in the fiscal year 2008-09 Road Fund budget.  Therefore, this request does not result in any additional costs being incurred over the amount previously approved by the Board.
 
Background:
At the Board of Supervisors meeting on December 4, 2007, Agenda Item # 9, your Board approved Agreement for Services #AGMT 07-1588 with William A. Reid dba William A. Reid, AIA, Architects in the amount of $100,000 for the design and construction oversight of the Department of Transportation's Headington Road equipment wash facility.  
 
Reason for Recommendation:
Reid has ceased doing business as a sole proprietor and is now working for Stafford-King-Wiese Architects (Stafford).  He has asked the County to accept an assignment of Agreement for Services #AGMT 07-1588 to Stafford in order for Stafford to complete the work under the Agreement.  Stafford has agreed to the assignment and will assume all of Reid's duties, responsibilities and obligations under the terms and conditions of Agreement for Services #AGMT 07-1588 on the effective date of the Assignment, Assumption and Consent. Reid will remain liable for all obligations, covenants, and conditions, and/or liabilities for services performed prior to the County's consent to the assignment, and all existing indemnity and insurance obligations of Reid will remain in full force and effect for services performed prior to the effective date of the Assignment, Assumption and Consent.  
 
The Department of Transportation requests your approval and authorization for the Chairman to sign the Assignment, Assumption and Consent of Agreement for Services #AGMT 07-1588 in order to complete the work under Agreement #AGMT 07-1588 and to assure the County is adequately protected and that the responsibilities and obligations of each party under the Agreement are clear.
 
Human Resources has been advised of the proposed Assignment, Assumption and Consent to Agreement for Services #AGMT 07-1588 and has provided their approval.  
 
Action to be taken following Board approval:
The Chairman will sign the Assignment, Assumption and Consent of Agreement for Services
#AGMT 07-1588 and forwarded one original to the Department of Transportation for further processing.
