DISCUSSION / BACKGROUND
On April 19, 2022, the Board of Supervisors approved and executed Amendment I to perpetual Agreement for Services #6126 with Karpel Solutions, Inc for the Microsoft M365 Migration Project, which added as-needed support services and increased the not-to-exceed amount to $63,820. However, it was recently discovered that the Legistar file did not include the amended Exhibit A-1 - Amended Scope of Work referenced in Amendment I (reference Legistar Item #22-0041).
Although the amendment was executed by the Board, Procurement and Contracts deferred to County Counsel for Legal advice on whether the amendment was valid since Exhibit A-1 was not originally presented to the Board for review. After considering the circumstance, County Counsel has determined the safest route would be to resubmit the matter for Board consideration.
Amended Exhibit A-1 is attached along with executed Amendment I.
ALTERNATIVES
Should the Board opt not to review amended Exhibit A-1, the fully executed Amendment I to perpetual Agreement 6126 with Karpel Solutions, Inc. will be considered invalid.
PRIOR BOARD ACTION
Legistar Item 22-0041 - April 19, 2022 - The Board approved and executed Amendment I to perpetual Agreement 6126 with Karpel Solutions, Inc. for the update of the Scope of Work and increase of the not-to-exceed amount.
Legistar Item 21-1766 - November 16, 2021 - The Board approved and authorized the Purchasing Agent to execute Agreement 6126 with Karpel Solutions, Inc. for Microsoft Office and M365 licenses.

FINANCIAL IMPACT
There is no impact to Net County Cost for the review of amended Exhibit A-1. As mentioned in prior Board Item 22-0041, the District Attorney’s Office is using savings to fund the addition costs associated with the amendment and have included adequate appropriations in next year’s budget.
