Health and Human Services Agency (HHSA) recommending the Board:
1) Make findings in accordance with Procurement Policy C-17 Section 3.4(5) exempting the competitive bidding process because “it is in the best interest of the County to extend a contract from the previous contract period for an interim period provided the contractor agrees to continue to furnish the goods or services at the same contract price and under the same terms and conditions as the prior contract, with the extension necessary to avoid the interruption of County business while a competitive bid is in process”;
2) Approve and authorize the Purchasing Agent to electronically sign Amendment II to Purchase Contract 5357 with IDEXX Distribution, Inc. (IDEXX), for veterinary medical supplies with no change to the not-to-exceed amount of $60,000 or terms and conditions of the contract, and to extend the term an additional six months, for a new term of January 1, 2021, through June 30, 2025;
3) Authorize the Purchasing Agent to execute amendments relating to Agreement 5357, contingent upon approval by County Counsel and Risk Management, which do not increase the maximum dollar amount or term of the Agreement; and
4) Authorize the HHSA Director, or the Chief Assistant Director, to execute programmatic, administrative, and fiscal documents relating to Agreement 5357.
FUNDING: 15% Fees for Services, 9% Licensing/Permit Fees, 7% Public Health Realignment, 69% Net County Cost, and in some cases the services are 100% paid for through the Pet Aid Special Revenue Fund.

DISCUSSION / BACKGROUND:
HHSA Animal Services (AS) has contracted with IDEXX since 2008 to provide veterinarian laboratory testing services for animals under the care and control of AS. AS relies on a wide range of veterinary lab tests to promptly diagnose and treat illnesses in shelter animals, helping to prevent the spread of disease within the shelters.
Purchase Contract 5357 with IDEXX for veterinary medical supplies was electronically executed by the Purchasing Agent on December 7, 2020, for the maximum obligation of $30,000, and the term of upon execution through December 31, 2024. Amendment I to Purchase Contract 5357 was electronically executed by the Purchasing Agent March 20, 2024, to add $30,000 for a new total of $60,000.
HHSA is recommending the Board approve Amendment II to Purchase Contract 5357 to extend the term for six months in order to allow time to complete a competitive bid and enter into a new contract. This Amendment II will extend the term from January 1, 2025, through June 30, 2025, to ensure no service interruptions. Amendment II is also being brought to the Board for approval as the revised term exceeds three years.
ALTERNATIVES:
Should the Board decline to approve this recommendation, HHSA would not have a contracted vendor to provide veterinary medical supplies. Animals at the shelter would not be properly diagnosed with illnesses which would cause prolonged pain to sick animals and increase the risk of disease outbreak within the shelter.

FINANCIAL IMPACT:
There is no additional Net County Cost associated with this agenda item, as the term extension does not add any increased compensation. Sufficient appropriations were included in the Fiscal Year 2024-25 Budget.
