DISCUSSION / BACKGROUND
On December 4, 2012 (Item 7, Legistar 12-1440 v1), the Board authorized the Chair to sign the Agreement for Legal Services Between El Dorado County and Meyers, Nave, Riback, Silver & Wilson concerning the Silva Valley Interchange Project (Agreement).
On May 19, 2015 (Item 6, Legistar 12-1440 v2), the Board authorized the Chair to sign the First Amendment to the Agreement, expanding the Scope of Work to include “various public works projects”, including but not limited to three other Capital Improvement Program (CIP) projects: the Alder Drive at EID Canal Bridge Replacement Project (CIP 77123); the Sly Park Road at Clear Creek Road Bridge Replacement Project (CIP 77115); and the Newtown Road at South Fork of Weber Creek - Bridge Replacement Project (CIP 77122). Effectively, the First Amendment allowed for contracted work to be performed for any CIP project in progress.
County Counsel was recently notified of the firm’s change of name, from Meyers, Nave, Riback, Silver & Wilson to Meyers Nave, A Professional Corporation. This requested Second Amendment to the Agreement (Amendment) updates the firm’s name with no other material changes.

FINANCIAL IMPACT
Funding for the agreement is provided by various Capital and Environmental Improvement Program project budgets, including Federal, State, and Local funding sources. Local funding sources may include any combination of the following: Traffic Impact Fee (TIF) Program, Missouri Flat Area Master Circulation and Financing Plan (MC&FP), Road Fund, Tribe Funds, Accumulative Capital Outlay (ACO), Developer Advanced Funds, Sacramento Municipal Utility District (SMUD), and/or General Fund.
There is no change to Net County Cost and this recommendation does not have a fiscal impact as the amendment is simply to revise the name of the company.
CLERK OF THE BOARD FOLLOW UP ACTIONS
1) The Clerk of the Board will obtain the Chair’s signature on two (2) originals of the Amendment.
2) The Clerk of the Board will forward one (1) fully executed Amendment to Chief Administrative Office, Procurement and Contracts Division, attention Tyler Prince, for further processing.
