Procurement and Contracts, a division of the Chief Administrative Office, recommending the Board:
1) Make findings pursuant to El Dorado County Ordinance Section 3.13.030 (B) that as-needed confidential document and electronic waste destruction services require specialty skills and qualifications not expressly identified in County classifications;
2) Make findings that the Amendment II to Agreement for Services 8588 with Viking Shred LLC is exempt from competitive bidding as the services are needed by the County pending a competitive solicitation award and the contractor with the most recently awarded contract agrees to the same terms and conditions as the previous award; and
3) Approve and authorize the Purchasing Agent to execute Amendment II to Agreement for Services 8588 with Viking Shred LLC, increasing compensation by $20,000 for an updated amount of $119,000, with no change to the term of May 6, 2024, through May 5, 2027, for as-needed confidential document and electronic waste destruction services.

DISCUSSION / BACKGROUND
On March 29, 2024, the Purchasing Agent executed Agreement for Services 8588 with Viking Shred LLC for a three-year term with a total compensation amount of $75,802. Services provided under this agreement include as-needed confidential document and electronic waste destruction services.
On December 9, 2025, Amendment I was approved by the increasing compensation by $23,198, bringing the total compensation amount to $99,000. Currently, less than $20 remains on the contract and departments still need to utilize these services. Due to the increased demand for these services, Procurement and Contracts issued RFP #2025-0174 for Confidential Document and E-Waste Destruction Services. A contract for services is currently being negotiated with CEAR, LLC for these services.
The department is requesting that the Board make the finding that Amendment II to Agreement for Services 8588 with Viking Shred LLC is exempt from competitive bidding as the services are needed by the County pending the award of the competitive solicitation. This Amendment will increase the amount of the Viking Shred contract to $119,000. Once the new contract with CEAR, LLC is completed, the contract with Viking Shred will be terminated.
ALTERNATIVES
The Board could choose not to approve the Amendment, but there will not be sufficient funding available to provide as-needed confidential document and electronic waste destruction services until a new contract can be awarded.

FINANCIAL IMPACT
Amendment II to Agreement for Services 8588 continues to be funded by both General Fund and Non-General Funds, as each County department using this Agreement is responsible for ensuring that sufficient appropriations are included in their current fiscal year operating budget and will be included in future budgets throughout the term of this Agreement.
