DISCUSSION / BACKGROUND
Department of Transportation, Maintenance and Operations Division (Transportation), currently utilizes an agreement with Riebes Auto Parts to provide on-site fleet vehicle and equipment parts and inventory program services. The First Amendment was approved by the Board of Supervisors on May 4, 2021, extending the term of the agreement through December 24, 2024. However, after the First Amendment was executed, Riebes Auto Parts was acquired by Genuine Parts Company, doing business as Napa Auto Parts. The Second Amendment makes the necessary changes to Agreement #2801 to continue to do business with the vendor under the new business name.

The Second Amendment to Agreement #2801 includes minor administrative changes to various articles that were deemed necessary in the approval process. These changes include: updating the Assignment Article to reflect the new vendor name, updating the Compensation for Services Article to reflect the new vendor name, updating the Notice to Parties Article to update the County and Consultant's notice recipients; replacing the Consultant to County, Independent Contractor, Default, Termination, and Cancellation, Indemnity, and Conflict of Interest articles in their entirety to address recent changes in state law and revised standard County contract language. Similarly, three (3) new articles, Force Majeure, Waiver and Electronic Signature, were added for the same purpose.
