Fiscal Impact/Change to Net County Cost: No change.  The Agreement is funded by Federal and State dollars with required County match met primarily with realignment resources.  Funding is budgeted Fiscal Year (FY) 2012-13, and will be budgeted in FY 2013-14.
Compensation
Payments to contractor are made within forty-five (45) days following the County's receipt and approval of itemized invoices identifying services rendered.  Compensation is based upon specified billing rates for actual services performed and documented per contract requirements.  
 
Termination
Agreement for Services 224-S1110 includes the County's standard Fiscal Considerations termination language as well as a provision for the County to terminate the Agreement without cause in seven (7) calendar days upon written notice.  
 
Background  
The original Agreement for Services 224-S1110 was executed by the Purchasing Agent on November 2, 2010, in an amount not-to-exceed $58,505.  Due to the increase in the use of the services of this vendor, Amendment I to the Agreement was executed by the Board on October 4, 2011, increasing the not-to-exceed amount to $108,505.
 
Reason for Recommendation
County of El Dorado Health and Human Services Agency, Social Services Division ("HHSA") is recommending the continued use of this vendor's services. A Balanced Life: Individual, Family and Child Therapy, Inc., doing business as A Balanced Life, Inc., is one of a limited number of available vendors in the South Lake Tahoe area that provides classes, training programs, therapeutic counseling, and therapeutic visitation services.  Amendment II to Agreement for Services 224-S1110 amends Article III, "Compensation for Services," to increase the compensation amount by an additional $100,000 to a not-to-exceed amount of $208,505 due to the increased and on-going demand for services provided by this vendor.  Amendment II also incorporates updated Articles XXXVI - "Nonresident Withholding" and Article XXXVII - "Third Party Beneficiary" to conform with current standard language.
Purchasing Agent Recommendations
The Purchasing Agent determined it is appropriate to dispense with a competitive selection process in accordance with Board of Supervisor's Policy C-17, Sections 7.5 and 7.10 and concurs with the Agency's request to amend Agreement for Services 224-S1110 in accordance with Board of Supervisors Policy C-17, Section 7.4.1.  
 
Action to be taken following board approval
1.  Chair to execute two (2) copies of the approved Amendment II to Agreement for Services 224-S1110
2.  Clerk of the Board's Office to return one (1) original Amendment II of the Agreement to HHSA Contracts Unit at 3057 Briw Road.
3.  HHSA to distribute as appropriate.
