Health and Human Services Agency, Mental Health Division, recommending the Board:
1) Ratify Purchasing Agent signature on Amendment I to Agreement 588-S1310, which increased the term of the agreement to four years, beginning January 1, 2013 and ending December 31, 2016;
2) Approve and authorize the Chair to sign Amendment 2 to Agreement 588-S1310 with Relias Learning, LLC, for the provision of mental health web-based education and information resource subscription services for Mental Health stakeholders, increasing the maximum contractual obligation by $8,341 for an amount not to exceed $40,072, with no change to the term of the Agreement; and
3) Authorize the Purchasing Agent, or designee, to execute further documents relating to Agreement for Services 588-S1310, including future amendments which do not increase the maximum dollar amount or term of the Agreement, and contingent upon approval by County Counsel and Risk Management.

DEPARTMENT RECOMMENDATION:
Health and Human Services Agency (HHSA) recommending the Board ratify the term of Agreement 588-S1310 as defined in Amendment I for the period January 1, 2013 through December 31, 2016. The original agreement with Relias Learning was executed for a term of 36 months starting January 1, 2013. Following execution of the Agreement the decision was made that the Agreement should have a finite term, rather than an initial term of 36 months with automatic annual renewals, so HHSA requested an Amendment to the Agreement which was intended to specify a term of January 1, 2013 through December 31, 2015. The Amendment was executed by the Purchasing Agent in January 2014, in error, with a term of January 1, 2013 through December 31, 2016, thereby extending the term of the original Agreement beyond the three year term which would allow for Purchasing Agent signature authority as provided in Board of Supervisors Policy C-17, Section 4.5 “Contract Term,” hence requiri...
