Fiscal Impact/Change to Net County Cost: There is no direct fiscal impact associated with the termination of the Agreement. There is no net County cost.
Currently, El Dorado County’s Information Technology staff is maintaining the OTG/Legato software.
Background: At the Board of Supervisors meeting of August 26, 2003, agenda item #18, your Board approved the Agreement with Sunrise Support Services, Inc. in the amount of $6,497.00 for software maintenance of the OTG/Legato Application Software Extender system to be used by the Department to scan, store and retrieve electronic records.
The amount of payments made to date is $4,428.00 leaving a remaining balance on the Agreement of $2,069.00. All of the services rendered by the Consultant have been paid for in full.
Reasons for Recommendation: The Consultant has ceased doing business and is therefore unable to perform under the terms and conditions of the Agreement. In accordance with the provisions of Article X, Default, Termination, and Cancellation of the contract, the County may terminate this Agreement in the event Consultant ceases to operate as a business, or otherwise becomes unable to substantially perform any term or condition of this Agreement.
Action to be taken following Board approval: (1) The Chairman will sign the attached letter to Sunrise Support Services, Inc. terminating Agreement for Services # AGMT 03-308.
