Title: Health and Human Services Agency recommending the Board consider the following: 1) Approve and authorize the Chair to sign Amendment IV to Agreement for Services 278-S0110 with Medical Priority Consultants, Inc., dba Priority Dispatch Corporation, which provides support services for two emergency medical service dispatch products, with a term that began April 1, 2000 and continues in perpetuity with an increase in the maximum contractual obligation in Fiscal Year 2014/15 to $13,283.48 which includes the cost of upgrading outdated software; and an annual maximum contractual amount of $9,578 for software maintenance and support services effective Fiscal Year 2015/2016; and 2) Authorize the Chair to execute further amendments to Agreement for Services 278-S0110, which do not affect the maximum dollar amount or term of the Agreement, and contingent upon approval by County Counsel and Risk Management. FUNDING: The amount paid by County is recovered from CSA No. 3 and CSA No. 7.

Fiscal Impact/Change to Net County Cost
There is no Net County Cost associated with this agreement.  Sufficient appropriations are included in the Fiscal Year (FY) 2014-15 Budgets for County Service Area No. 3 and for County Service Area No. 7, and will be included in future County Budgets for the term of the Agreement.
 
Background
El Dorado County and Medical Priority Consultants, Inc., entered into an agreement with no stated termination date effective April 1, 2000, to ensure ongoing software maintenance, update and support services beyond the period covered by an initial license fee for the two emergency medical services dispatch products, used for all Medic Unit dispatch, referred to as "ProQA" and "AQUA."  The software is installed at the City of South Lake Tahoe Dispatch and at the California Department of Forestry, Camino Dispatch.  Amendments I and II were processed to acquire additional licenses.  Amendment III formalized the use of "dba Priority Dispatch Corporation" for the purposes of billing and clarity of all future documentation (03/03/2009/ File ID 09-0176).
 
Effective July 31, 2014, Medical Priority Consultants, Inc. discontinued support and maintenance service for the existing version of software which is now considered outdated.  This Amendment IV is to upgrade the two emergency medical services dispatch products referred to as "ProQA" and "AQUA" at the City of South Lake Tahoe Emergency Dispatch Center to the current version of the software.  The software upgrade will result in an increase in the annual maximum obligation for both dispatch locations.  The total maximum obligation for FY 2014-15 is $13,283.48, which also includes the cost of the software upgrade.  The annual maximum obligation for FY 2015-16, and each FY thereafter, is $9,578 for the annual software maintenance and support .  
 
CSA No. 7 (for the Camino Dispatch location) separately purchased and installed the necessary software upgrade to the ProQA/Paramount and AQUA 6 software, since the cost was reimbursed under the existing Agreement with the County, so there are not software upgrade costs included in this Amendment for this location.    
 
Reason for Recommendation
Health and Human Services Agency (HHSA) recommends approval of this Amendment IV to Agreement for Services 278-S010 to upgrade the Emergency Medical Services Dispatch software used by City of South Lake Tahoe Dispatch personnel and to continue the annual software maintenance provided by the Contractor.  Failure to approve this Amendment will result in the use of unsupported dispatch software and potientially result in delayed emergency medical response.

1. Clerk of the Board to have the Chair sign two (2) originals of Amendment IV to Agreement 278-S0110.
2. Clerk of the Board to return one (1) fully signed original Amendment IV to HHSA Contracts Unit at 3057 Briw Road, Suite A.
