Background: In November, 2005, your Board approved Agreement #464-S0610 with Lexipol, LLC with agreed upon changes that eliminated the standard indemnity language.
Reason for Recommendation: When the contract was renewed in March 2008, the County's standard agreement was used which included the standard indemnity clause used by the County. The vendor assumed they were signing the "same" negotiated terms as the prior contract. Recently, the vendor noticed the indemnity clause was included in the new agreement and has asked that it be deleted. Deleting the indemnity clause makes the agreement non-standard requiring Board approval.
Action to be taken following Board approval: The Chairman will sign the Amendment.
