Fiscal Impact/Change to Net County Cost: There is no fiscal impact related to these contract language modifications.
 
Background: The County currently has a four year agreement (January 1, 2006 through December 31, 2010) with George Hills Company, Inc.  (GHC) to act as the County's Third Party Administrator (TPA) for the County's self-insured general liability program.
 
Reason for Recommendation: This amendment makes no change to the billing rates or overall compensation. The Scope of Services is  being revised to specify that GHC shall provide all necessary services to ensure County compliance with the Medicare, Medicaid, and SCHIP Extension Act of 2007 (MMSEA), and shall as the designated reporting agent for Mandatory Insurer Reporting for the County as required under MMSEA.  The amendment also modifies the indemnity language, requiring GHC to indemnify the County against any claims, penalties and fines resulting from a failure to comply with reporting requirements of MMSEA.  Finally, the amendment clarifies language in the Compensation provision regarding the process for authorizing additional "as needed" services to be provided by GHC.  The language requires GHC to submit a written proposal, including fees, which may be approved by the contract administrator.  
 
Action to be taken following Board approval: The Human Resources Department, Risk Management Division will forward the executed Agreement to Purchasing and Auditor-Controller's offices.
