Fiscal Impact/Change to Net County Cost: No change.  The Agreement is funded by the Social Services allocation with required County match met primarily with realignment resources.  Funds were budgeted for FY 2008-09, FY 2009-10 and are included in the Department's FY 2010-11 Recommended Budget.
 
Compensation for Services:   Payments to Contractor are made within 45 days following the County's receipt and approval of itemized invoices for actual services performed and documented per Agreement requirements.  Allowable services and rates are detailed in Exhibit "A" marked "Fee Schedule".
 
Termination:   Agreement includes the County's standard Fiscal Considerations termination language, as well as a provision for the County to terminate Agreement without cause in seven (7) calendar days upon written notice.
 
Reason for Recommendation:  The Board approved Agreement for Services 344-S0911 with Maxim Healthcare Services, Inc. on December 9, 2008 for a three-year term ending November 30, 2011 in the amount of $75,000.  This Agreement was originally developed for use by Child Protective Services (CPS) for provision of supplemental licensed health care provider services on an "as requested" basis for at-risk children who are clients of CPS.  This Amendment is essential in order to allow the Department to use Maxim's 24-hour emergency staffing one-to-one assistance for both children and medically frail adults who are clients of the Department of Human Services on an "as requested" basis.  Notice to parties is also amended to reflect the County's current notice requirements.  There is no change to the term or amount of this Agreement.
 
Action to be taken following Board approval:
1.  Chair to sign two (2) original Amendments.
2.  Board Clerk to return one (1) original Agreement to Department at 3057 Briw Rd.
3.  Department to distribute as appropriate.
