Fiscal Impact/Change to Net County Cost: No change.  The Agreement is funded by Federal and State dollars with required County match met primarily with realignment resources.  Funds were budgeted in prior fiscal years and for FY 2010-11.
 
Compensation: Payments to contractor are made within forty-five (45) days following the County's receipt and approval of itemized invoices identifying services rendered.  Compensation is based upon specified billing rates for actual services performed and documented per contract requirements. Services and rates are detailed on pages 7 through 8 of Amendment 3.
 
Termination: Agreement includes the County's standard Fiscal Considerations termination language as well as a provision for the County to terminate the Agreement without cause in seven (7) calendar days upon written notice.  
 
Reason for Recommendation:
On March 28, 2008 the Purchasing agent executed Agreement for Services 652-S0810 with Family Connections El Dorado, Inc. for a three-year term for the provision of therapeutic counseling, equine-assisted therapy, home visitations, anger management and other related services to DHS clients on an "as requested" basis.  The Agreement was amended a first time on January 13, 2009 to increase the compensation from $50,000 to $180,000 due to an increase in demand for the services provided.  On October 29, 2009 the Agreement was amended a second time to decrease the rates charged for equine-assisted services to more closely match equivalent Drug Medi-Cal rates.  This third amendment to increase the compensation amount by an additional $5,000 is necessary due to the increased and on-going demand for services provided by this vendor and to prevent a depletion of funds prior to the end of the contract term.  DHS is recommending the continued use of this vendor's services.  
 
Amendment III includes modifications to Article I, "Scope of Services," Article III, "Compensation," Article IV, "Medi-Cal Screening," Article V, "Confidentiality," Article VII, "Conflict of Interest," Article IX, "Access to Records," Article XVII, "Notice to Parties," and Article XVIII "Insurance" have been revised to be consistent with modified language used in current County agreements; and to Article XXX, "HIPAA Compliance," Article XXXI, "Lobbying Certification," Article XXXII, "Nondiscrimination," Article XXXIII, "Fingerprinting," Article XXXIV, "Accounting Systems and Financial Records," and Article XXXV, "Annual Audit" have been added to conform to current terms included in County contracts.  
 
Amendment III will be effective upon execution and the term remains February 1, 2008 through January 31, 2011.  The total compensation for the Agreement will be $185,000.  The County Purchasing Agent has reviewed the Department's request for this amendment and concurs that it is in compliance with Board of Supervisors Policy C-17, sections 7.5 and 7.10.
 
Action to be taken following board approval:
1.  Chair to sign two (2) original Agreements
2.  Board Clerk to return one (1) original Agreement to the Department at 3057, Briw Road.  
3.  Department to distribute as appropriate.
