Fiscal Impact/Change to Net County Cost:  No change.  The Agreement is funded by Federal and State dollars with required County match met primarily with realignment resources.  Funds were budgeted in prior fiscal years and there is sufficient funding in the current year budget for the final payment of $389.24.
 
Compensation for Services:  Payments are made to Contractor based upon monthly invoicing for actual services performed and documented per contract requirements.  Payments to Contractor are made within forty-five (45) days following the County's receipt and approval of itemized invoices identifying services rendered.  Compensation is based upon specified billing rates for actual services performed and documented per contract requirements.  Services and rates are detailed on pages 2 through 3 of said Amendment III.
 
Termination:  Agreement includes the County's standard Fiscal Considerations termination language, as well as a provision for the County to terminate Agreement without cause in seven (7) calendar days upon written notice.
 
Retroactive Compensation Increase:  The Department of Human Services (DHS) Accounting staff monitor invoices and payments against each Agreement's not-to-exceed (NTE) balance on a regular basis.  Should there be indicators that an increase to the NTE may be required, every effort is made to do so prior to depletion of available balance on the contract.  However, final invoicing for client services provided exceeded the available contract balance by $389.24.  DHS staff contacted the contractor in July 2010 to obtain information necessary to prepare amendment documents.  This information was received from the contractor on September 30, 2010, the amendment documents were mailed to the contractor on October 1, 2010, signed copies of the documents were received by DHS on October 28, 2010 at which time the Department immediately proceeded to schedule the item for Board review.
 
Background:  The County Purchasing Agent executed Agreement 610-S0711 in the not-to-exceed amount of $37,500 on June 13, 2007 for the term May 24, 2007 through December 31, 2007.  The Board of Supervisors executed Amendment I to Agreement 610-S0711 on April 29, 2008, increasing the maximum compensation to $75,000 and extending the term through June 30, 2010.  Amendment II to Agreement 610-S0711 was executed by the Board of Supervisors on January 27, 2009 thereby increasing the maximum compensation to $131,000.
 
Reason For Recommendation:  Approval of retroactive Amendment III to 610-S0711 to amend Article III-Compensation thereby increasing its compensation by $389.24 to $131,389.24 for the term of May 24, 2007 through June 30, 2010 will allow DHS to reimburse Sierra Recovery Center for all remaining outstanding invoices from FY 2009-10.  
 
Action To Be Taken Following Board Approval:  
1)  Chair to sign two (2) originals of Amendment III to Agreement 610-S0711
2)  Board Clerk's Office to return one (1) original Agreement to DHS at Briw Road
3)  Department to distribute as appropriate.
