Fiscal Impact/Change to Net County Cost: No change.  The Agreement is funded by Federal and State dollars with required County match met primarily with realignment resources.  Funds were budgeted for FY 2009-10 and FY 2010-11 and will be included in the Department's requested budget for FY 2011-12 and FY 2012-13.
 
Compensation:  Payments to contractor are made within forty-five (45) days following the County's receipt and approval of itemized invoices identifying services rendered.  Compensation is based upon specified billing rates for actual services performed and documented per contract requirements.  Most rates are tied to current Drug Medi-Cal reimbursement rates.  Services and rates are detailed on pages 5 through 7 of Amendment 1.
 
Termination:  Agreement includes the County's standard Fiscal Considerations termination language as well as a provision for the County to terminate the Agreement without cause in seven (7) calendar days upon written notice.  
 
Reason for Recommendation:
The Department of Human Services (DHS) maintains agreements with multiple local, state and national vendors for the provision of therapeutic counseling and related services to ensure that clients can be referred by their caseworkers on an "as requested" basis to receive necessary services from the most appropriate and conveniently located vendor.  Choice of vendor is based on the specific needs of each individual DHS client.  On March 28, 2010, the County's Purchasing Agent executed Agreement for Services 449-S1010 with Tahoe Turning Point, Inc., for a three-year term for the provision of therapeutic counseling, substance abuse testing, parenting classes and other related services to DHS clients on an "as requested" basis.  
 
DHS is recommending the continued use of this vendor's services.  Amendment 1 to Agreement for Services 449-S1010 increases the compensation amount by an additional $135,000 due to the increased and on-going demand for services provided.  Tahoe Turning Point is one of the limited number of available vendors that provide multi-tier services including assessment, substance abuse testing, parenting classes and therapy.  The initial agreement was executed in May of 2010 and since that time Tahoe Turning Point has been very responsive to the department's needs for services in South Lake Tahoe, including after hours services.  
 
Additionally, Article I, "Scope of Services," Article III, "Compensation," Article VII, "Access to Records," Article XVIII, "HIPAA Compliance," and Article XXII, "Insurance" have been revised to be consistent with modified language approved for use in current County agreements.  Article XXXIII, "Annual Audit" and Article XXXIV, "Accounting Systems and Financial Records," have been added to conform to current terms approved for use in County contracts.  
 
Amendment 1 will be effective upon execution and the term will remain May 28, 2010 through May 27, 2013.  The amended total not-to-exceed compensation for the Agreement is $175,000.  
 
Purchasing Agent Recommendations:  The Purchasing Agent reviewed the Department's request to amend this Amendment 1 to Agreement 449-S1010 in accordance with Procurement Policy section 7.4.2 and concurs that it is appropriate to do an amendment versus a new contract.  The Purchasing Agent has determined that it is appropriate to dispense with a competitive selection process in order to continue with services because the amendment simply calls for an increase in total compensation to cover expected usage during the remaining term due to increased use by clients.  An outside review was performed and the outside reviewer concurs that the vendor is qualified and able to perform the services.
 
Action to be taken following board approval:
1.  Chair to sign two (2) original Agreements
2.  Board Clerk to return one (1) original Agreement to the Department at 3057 Briw Rd.  
3.  Department to distribute as appropriate.
