DISCUSSION / BACKGROUND

TerraVerde Energy, LLC (formerly TerraVerde Renewable Partners, LLC) was originally selected off a County issued Request for Information and Statements of Qualifications process that was issued on April 19, 2017.  Nine responses were received with three being deemed qualified.  Of the three, TerraVerde was selected as being the preferred partner for this project.

 

The Purchasing Agent (PA) signed Agreement for Services No. 317-S1810 on December 11, 2017, for $9,975 to assist in the submission of an interconnection application to Pacific Gas & Electric Company (PG&E) along with some other ancillary tasks.  An interconnection application is the first step in pursuing a cost saving solar project.

 

On February 2, 2018, the PA signed Amendment I to add an additional $51,310 to provide a comprehensive feasibility analysis.  The analysis consisted of site audits, review of drawings, PG&E interval consumption / billing data, analysis of cost / benefit of differing systems, determination of project design-build cost estimates, estimated power purchase agreement rates and a detailed financial analysis for projected net savings, cash flows, net present value, and levelized cost of electricity.

 

Amendment II to the Agreement was executed by the PA on March, 9, 2018 to incorporate a business identity change from TerraVerde Renewable Partners, LLC to TerraVerde Energy, LLC.  There were no changes to term or compensation

 

On September 11, 2018, the Board authorized the PA to sign Amendment III to add $95,950 in compensation, for a revised not-to-exceed of $157,235, and extend the term an additional two years for an amended expiration of December 10, 2020.  Amendment III provided the additional services necessary to assist in the development, solicitation and review/analysis of a Request for Proposal (RFP) process as related to the recently executed Solar Power Purchase Agreements (PPAs) and Cost Reimbursement Agreement (CRA).

 

With the Board executing the PPAs and CRA on March 19, 2019, TerraVerde’s services are now needed to assist in the implementation in the form of design and project management.  The scope of work would be expanded to include:

 

Design Management:

1.                     Arrange and attend design kick-off meeting

2.                     Review and manage permitting activities with successful request for proposal (RFP) respondent

3.                     Manage project schedule review and critical path item resolutions

4.                     Oversee bi-weekly meetings for design process updates

5.                     Review 30/50% designs, provide comments and manage updates

6.                     Review 90% / 100% designs, provide comments and manage updates

7.                     Oversee final PG&E utility Interconnection application process

8.                     Provide technical assistance to California Environmental Quality Act (CEQA) consultant

 

Project Management:

1.                     Arrange and attend construction kick-off meeting

2.                     Oversee issuance of all applicable permits

3.                     Oversee project progress meetings

4.                     Oversee contract terms compliance

5.                     Respond to questions and Requests for Information (RFI's)

6.                     Oversee project schedule update process

7.                     Conduct field inspections of work in progress

8.                     Oversee Utility interconnection signoff & permission to operate (PTO)

9.                     Arrange and attend punch list site walk

10.                     Oversee project punch list completion

11.                     Oversee project close-out and as-built document delivery

12.                     Oversee commissioning process

13.                     Oversee Corrective Action Plan for performance issues

14.                     Prepare post-commissioning performance report and financial update

 

Amendment IV increases compensation by $150,000, for an amended not to exceed of $307,235 and the term remains unchanged (the contract expires 12/10/20).

 

ALTERNATIVES

These services are necessary to implement the County’s solar project.  The County could choose a different consultant but, at this juncture, it would increase costs and provide project delays.

It is recommended that the Board approve this item.

 

FINANCIAL IMPACT

This has been budgeted for in the current ACO Fiscal Year and will be included as part of the budget request in future years.  There is no change to Net County Cost.
