Department of Transportation recommending the Board approve and authorize the Chair to sign the following Amendments to the Agreements for Services with Dewberry Engineers Inc. modifying various administrative details related to their acquisition of Drake, Haglan and Associates, Inc., with no changes to the compensation, rate schedule, term, or scope of work of the Agreements:
1) First Amendment to Agreement 274-S1711 which provides structural design and geotechnical support services for the Greenstone Road at Slate Creek - Bridge Replacement Project;
2) First Amendment to Agreement 278-S1711 which provides structural design and geotechnical support services for the Hanks Exchange at Squaw Hollow Creek - Bridge Replacement Project;
3) First Amendment to Agreement 3551 which provides structural design and geotechnical support services for the Newtown Road at South Fork Weber Creek - Bridge Replacement Project;
4) First Amendment to Agreement 2885 which provides construction management and environmental support services for the Sly Park Road at Clear Creek Crossing - Bridge Replacement Project; and
5) First Amendment to Agreement 3392 which provides on-call structural engineering and associated services for various Capital Improvement Program Projects.
FUNDING: Various funding sources as detailed in the Department of Transportation’s Capital Improvement Program, including federal, state, and local funding.

DISCUSSION / BACKGROUND
In September 2019, Drake, Haglan and Associates, Inc. (Drake Haglan) notified the Department of Transportation (Transportation) that the firm was being acquired by Dewberry Engineers, Inc. (Dewberry). Transportation is requesting that all existing agreements with Drake Haglan be amended to reflect this change and note that they are doing business as Dewberry | Drake Haglan. No changes to the compensation, rate schedule, term, or scope of work of the Agreements are being requested by Dewberry due to their acquisition of Drake Haglan.
The El Dorado County Employees Association, Local #1, was informed of the proposed Amendments and has no objections.
ALTERNATIVES
The Board could choose to not approve these Amendments. Transportation would be required to terminate the original agreements and issue new Requests for Proposals to complete the remaining work on the agreements. This would add significant time and cost to the Capital Improvement Projects.

2) Agreement 278-S1711 was approved by the Board on February 14, 2017, Item 17, Legistar 17-0035;
3) Agreement 3551 was approved by the Board on January 29, 2019, Item 18, Legistar 18-1830;
4) Agreement 2885 was approved by the Board on May 22, 2018, Item 19, Legistar 18-0405; and
5) Agreement 3392 was approved by the Board on December 11, 2018, Item 22, Legistar 18-1569.
OTHER DEPARTMENT / AGENCY INVOLVEMENT
County Counsel and Risk Management have reviewed and approved the Amendments.

It is recommended that the Board approve this item.
FINANCIAL IMPACT
Funding for the Agreements are budgeted in the 2019 Capital Improvement Program, adopted by the Board on December 17, 2019, Item 54, Legistar 19-1750. There is no change to Net County Cost.
CLERK OF THE BOARD FOLLOW UP ACTIONS
1) The Clerk of the Board will obtain the Chair’s signature on two (2) originals of each Amendment.
2) The Clerk of the Board will forward one (1) original of each Amendment to the Chief Administrative Office, Procurement & Contracts Division.
